This monograph, written for corporate general counsel whose corporations have or may become involved in a Federal criminal investigation, identifies the major issues such cases raise and explores some of the ways experienced attorneys address these issues.
Abstract
Some issues addressed are what the corporation does when it receives a subpoena, how to deal with the corporation's employees, how to protect the attorney-client and work-product privileges, how to deal with other counsel involved in the case, how to deal with the prosecutor and with the media, and how to deal with the Securities and Exchange Commission and shareholders. The criminal case may be only one facet of the Federal Government's assault on the corporation; therefore, monograph chapters address parallel proceedings, collateral consequences, and private law enforcement. Chapters also cover the implications of a trial for a white-collar case and proposed guideline sanctions for corporations convicted after a trial or plea for various offenses. There are chapters on the sentencing guidelines for individuals and the preventive measures that corporations can take to minimize the likelihood of criminal proceedings and mitigate the consequences. Since different statutes pose different problems and concerns, the monograph identifies the principal laws involved in white-collar cases. Appended relevant Federal criminal statutes and chapter footnotes
